1Acceptance of terms
These Terms of Service (“Terms”) govern your access to and use of the PayConcepts website and the products, services, and content we provide (collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, please do not use the Services.
2Our services
PayConcepts provides payment processing solutions and related products, including terminals, point-of-sale systems, online and virtual payment tools, and merchant support. Specific products and services may be subject to separate agreements, including merchant processing agreements with us or our partner banks and processors. In the event of a conflict, those separate agreements control for the products they cover.
3Eligibility
You must be at least 18 years old and able to form a binding contract to use the Services. If you use the Services on behalf of a business, you represent that you are authorized to bind that business to these Terms.
4Accounts & applications
When you submit an application, quote request, or support inquiry, you agree to provide accurate, current, and complete information. Approval of merchant accounts is subject to underwriting, verification, and the requirements of our partner banks and card networks. You are responsible for maintaining the confidentiality of any account credentials and for activity that occurs under your account.
5Acceptable use
You agree not to use the Services to:
- Violate any law, regulation, or card-network rule;
- Engage in fraudulent, deceptive, or illegal transactions;
- Infringe the intellectual property or rights of others;
- Transmit malware or attempt to disrupt or gain unauthorized access to our systems; or
- Process payments for prohibited or restricted business types not approved by us.
6Fees & payment terms
Fees for payment processing and related services are described in your merchant agreement or applicable pricing schedule. Unless otherwise stated, fees are exclusive of taxes. We may update fees in accordance with your agreement and applicable law. Marketing materials on this website are for general information and do not constitute a binding offer of specific rates.
7Intellectual property
The Services, including all content, logos, trademarks, and software, are owned by PayConcepts or its licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Services for their intended purpose. You may not copy, modify, distribute, or create derivative works without our prior written consent.
8Third-party products
Our Services may include or reference third-party hardware, software, or services (for example, terminal manufacturers, point-of-sale platforms, and card networks). Those products are governed by their own terms, and we are not responsible for third-party products or services except as expressly stated in a written agreement with you.
9Disclaimers
Except as expressly provided in a written agreement, the Services are provided on an “as is” and “as available” basis without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure.
10Limitation of liability
To the fullest extent permitted by law, PayConcepts and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business, arising out of or related to your use of the Services, even if advised of the possibility of such damages. Our total liability for any claim relating to the Services will not exceed the amounts you paid to us for the Services giving rise to the claim during the three months preceding the claim, except where prohibited by law.
11Indemnification
You agree to indemnify and hold harmless PayConcepts, its affiliates, and their respective officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys’ fees) arising out of your use of the Services, your violation of these Terms, or your violation of any law or the rights of a third party.
12Termination
We may suspend or terminate your access to the Services at any time if you violate these Terms or if required to protect our customers, partners, or systems. Provisions that by their nature should survive termination—including intellectual property, disclaimers, limitation of liability, and indemnification—will survive.
13Governing law
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles. Any dispute arising under these Terms will be subject to the exclusive jurisdiction of the state and federal courts located in California, unless otherwise required by your merchant agreement or applicable law.
14Changes to these terms
We may update these Terms from time to time. When we do, we will revise the “Last updated” date above. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
